1. Scope

The Terms of Service contained herein shall apply to all Sales accepted by International Motor Products, Inc. (IMP)

2. Price and Taxes:

Prices valid are those current at the date of purchasing, unless otherwise agreed to in writing by the parties.

If the buyer is located in the State of Florida it will include the Sales Tax.

3. Payment Terms

We only accept orders from valid verified PayPal accounts

4. Shipping and Billing:

We only accept orders to confirm Paypal addresses

Orders will be shipped within 2 business day after receiving the order. Usually orders are shipped by the United States Postal Office (USPS) or unless other is specified by the customer.

5. Warranty and Returns:

IMP warrants its products 100% on manufacturing defects. Any installation or other fees are non-refundable.

The defects caused by external factors like installation errors, inadequate use, wear; mistreatment or deterioration of the product will not be covered by this warranty.

There will be no refunds after 30 days of original purchase.

If the part arrives damaged, or is defective, it must be reported to us immediately with pictures. The buyer must return the product as received with the original packaging and all the content, please ensure that all original packaging is intact as we will not accept product without the original packaging.

To start the return process, the return shipping costs will be the responsibility of the customer unless the error was a direct result of IMP error. Once the product is received, it will be inspected to ensure the original packaging has not been damaged, no parts or hardware are missing, all installation instructions are present, the part is not damaged or disassembled, and no evidence is present of the product being installed and removed, then a credit will be issued. Please note that all new products must be returned in the same manner as they were first shipped. If a product is returned and the original packaging of the product (not the shipping packaging) has been defaced in any manner a 50% restocking fee may apply.

6. Contingencies

(a)    IMP shall not be in breach of its obligations and shall not be liable in any way for any loss, damage or expense arising directly or indirectly from any non-performance or delay in performance if such non-performance or delay is due to a force majeure event or other circumstances beyond IMP’s reasonable control, including but not limited to, shortages of labor, energy, fuel, machinery or materials, technical or yield failures, war, civil unrest, any government act, law or regulation, including any judicial order or decree, any communication or power failure, labor dispute, natural disaster, fire, flood, earthquake, explosion or terrorist act.

(b)    In the event of a shortage of products, IMP may allocate at its sole discretion product production and deliveries.

 7. Limited Liability

Neither IMP nor Buyer shall be liable for incidental or consequential damages, including but not limited to, the cost of labor, re-qualifications, rework charges, delay, lost profits, or loss of goodwill arising out of the sale, installation or use of any Xtender Brake Parts product. If IMP has any liability for breach of contract, breach of any implied condition, warranty or representation, the aggregate liability of  IMP to Buyer shall be limited in respect of any occurrence or series of occurrences to the total contractual value of the products or services supplied by IMP under these Terms and to which the claim relates.

 8. Confidential Information

Except as required by law, neither party shall use (except for purposes connected with the performance of its obligations hereunder), divulge or communicate to any third party any information of the other it reasonably knows to be confidential.

9. Force Majeure

IMP shall not be liable for any damage or penalty for delay in delivery or for failure to give notice of delay when such delay is due to the elements, acts of god, acts of the Buyer, act of civil or military authority, war, riots, concerted labor action, shortages of materials, or any other causes beyond the reasonable control of Dialog. The anticipated delivery date shall be deemed extended for a period of time equal to the time lost due to any delay excusable under this provision.

10. Export Regulations

Buyer agrees to comply fully with all laws and regulations concerning the purchase and sale of products. In particular, Buyer agrees to comply with the Export Administration Regulations of the United States and the European Union in so far as they apply to the sale of products. The products are licensed by the United States and the European Union for delivery to the ultimate destination as shown on the shipment/invoice address and any contrary diversion is prohibited.

11. Waiver

Failure by IMP to exercise or enforce any rights hereunder shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement thereof at any time or times thereafter.

12. Applicable Law

Unless otherwise agreed in writing, the terms and conditions contained herein shall be governed by

and construed under the laws of  the State of Florida of United States of America.
